Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Yusaku Yamaguchi (“we”, “us”, the “Seller”), the sole proprietor who develops and sells RecorderDesk (the “App”). By downloading, installing, or using the App, or by purchasing a RecorderDesk Pro license, you agree to these Terms. If you do not agree, do not install or use the App.
1. The App
RecorderDesk is a privacy-first desktop application that records and transcribes meetings on your own machine, with an AI meeting assistant and real-time translation. Capture, transcription, and AI run on your device by default; the App is offline-capable, and it is distributed directly by us (not through the Mac App Store). Optional companion apps for iOS and Android are coming soon, and will pair with the desktop over your local network.
2. Free trial
The App includes a 14-day free trial with every feature unlocked — recording, transcription, the live assistant, real-time translation, and exports. No payment is required to start the trial. The trial is provided so you can fully evaluate the App on your own hardware before deciding to buy. When the trial ends, a RecorderDesk Pro license is required to keep using the paid features; viewing and exporting meetings you have already recorded is never gated behind a purchase.
3. License grant (RecorderDesk Pro)
RecorderDesk Pro is a one-time purchase — a perpetual license, not a subscription. Subject to these Terms and your payment, we grant you a personal, non-exclusive, non-transferable, perpetual license to install and use the App on the devices you own or control, for your own personal or internal business use.
- Your purchase includes one year of updates from the date of purchase — every new version and improvement we release during that year.
- When your update year ends, the App keeps working forever on the newest version released during your update window. Nothing expires or shuts off, and no account is required to keep using it.
- Renewal is optional: you may renew for another year of updates at the renewal price shown at purchase (currently US$17 / ¥2,800 tax-included per year — about 40% off). There is no automatic or recurring charge.
- The license is tied to you and may not be sold, sublicensed, rented, or transferred to anyone else.
- You may not copy (except for reasonable backups), modify, reverse-engineer, decompile, or attempt to derive the source code of the App, except to the extent this restriction is prohibited by applicable law.
4. Purchases, price & payment
The price of RecorderDesk Pro is a one-time purchase — US$29, or ¥4,700 (tax included) for customers in Japan. This includes one year of updates; renewing for another update year is optional at US$17 / ¥2,800 (tax included) per year. The tax- and fee-inclusive price for your region is always shown on the purchase page before you pay. Payments are processed through Stripe, and we accept credit card, Apple Pay, and Google Pay. The Seller is the merchant of record on its own Stripe account. We do not receive or store your full card number. 5. Refund & cancellation policy
Because the 14-day free trial lets you evaluate every feature of the App on your own device before paying, purchases of RecorderDesk Pro are generally non-refundable once completed.
- We will honor refund requests made within 14 days of purchase, and in any case where a refund is required by applicable law (for example, for a material defect we cannot remedy).
- To request a refund or cancellation, email us at [email protected] with your purchase details. We aim to respond promptly.
- Because RecorderDesk Pro is a one-time perpetual license rather than a subscription, there is no recurring charge to cancel. You may stop using the App and uninstall it at any time.
6. Your account
You can start and use the App without an account. An optional account is email-only and exists solely to restore your Pro entitlement across your devices. The account never stores your meeting content — recordings, transcripts, summaries, and related data stay on your own devices. You are responsible for keeping access to the email address associated with your license.
7. Acceptable use
You agree to use the App lawfully. In particular, you agree that you will:
- comply with all laws that apply to recording conversations and meetings, including obtaining any consent from participants that the law requires in your jurisdiction;
- not use the App to infringe others’ rights, to harass or harm anyone, or for any unlawful purpose;
- not resell, redistribute, or share the App or your license; and
- not circumvent the license gate, the trial limits, or any technical protection in the App.
You are solely responsible for how you use the App and for the recordings you create with it.
8. Intellectual property
The App, including its software, design, and trademarks, is owned by the Seller and protected by intellectual-property laws. These Terms grant you a license to use the App, not any ownership of it. Your recordings, transcripts, and other content you create with the App are yours; we claim no ownership of them.
9. Third-party services
If you choose to enable cloud features, calendar connections, or MCP tools, those optional integrations are provided by third parties under their own terms, and any data you choose to send is governed by those terms. Payment processing is handled by Stripe. We are not responsible for third-party services, but the App logs what data leaves your device so you can review it.
10. Disclaimer of warranties
The App is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted or error-free, or that transcription, translation, or AI output will be accurate or complete. AI-generated content may contain errors and should not be relied upon without your own review. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
11. Limitation of liability
To the maximum extent permitted by law, the Seller will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or relating to your use of the App. To the maximum extent permitted by law, the Seller’s total liability for any claim relating to the App will not exceed the amount you paid for your RecorderDesk Pro license. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
12. Changes to the App and these Terms
We may update the App and these Terms from time to time. When we make material changes to these Terms, we will update the “Last updated” date at the top of this page. Your continued use of the App after a change takes effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of Japan, without regard to its conflict-of-laws rules. This does not deprive you of the protection of any mandatory consumer-protection laws of your country of residence.
